Terms of Service

These Terms of Service ("Terms") govern your use of Pink Frog Studio Ltd's services and website. By using our services, you agree to these Terms.

1. Services

Pink Frog Studio provides:

  • Web design and development services
  • Google Ads management and optimization
  • Digital marketing consultation
  • Related support and maintenance services

2. Client Responsibilities

You agree to:

  • Provide accurate and timely information
  • Respond to requests within reasonable timeframes
  • Pay invoices according to agreed terms
  • Provide necessary access to accounts and platforms
  • Own or have rights to all content provided

3. Payment Terms

Web Design Projects

  • 50% deposit required to begin work
  • Remaining 50% due upon project completion
  • Additional work billed at agreed hourly rates

Google Ads Management

  • Monthly management fees paid in advance
  • Ad spend billed separately by Google
  • No long-term contracts - month-to-month service

4. Project Timelines

  • Timelines are estimates based on prompt client feedback
  • Delays in client response may extend project completion
  • Rush projects may incur additional fees

5. Intellectual Property

  • For project-based builds: upon final payment, you own all custom design work
  • For subscription and managed websites, ownership does not transfer — see section 6
  • We retain rights to use work in our portfolio
  • Third-party licenses remain with their respective owners
  • We may use anonymized performance data for case studies

Agent-developed work

Any tools, integrations, automations, configurations, workflows, prompts or other work product that Pink Frog Studio's AI agents develop while providing services to a client are, and remain, the property of Pink Frog Studio. Pink Frog Studio may reuse, adapt and deploy that work product across its other agents and clients.

For the duration of a client's engagement, the client is granted a non-exclusive licence to use that work product as part of the services. The client does not acquire ownership of it, and the licence ends when the engagement ends.

This does not affect the client's own data or content, which remains the client's property. This clause applies only to the tools and systems Pink Frog Studio builds to deliver the services.

6. Subscription & Managed Websites

Unless otherwise agreed in writing, websites we provide on a subscription or managed basis are licensed, not sold. The recurring fee covers the design, build, hosting, maintenance and ongoing optimisation of the site, and grants you a licence to use it for as long as the subscription remains active.

  • The site's design, code, and underlying systems remain the property of Pink Frog Studio
  • Cancelling the subscription ends the licence to use the site; it does not entitle you to transfer the site, its code, or its underlying build to another provider
  • If you would like to take ownership of a subscription site, you can request a release — where agreed, this is subject to a release fee reflecting the build and systems involved
  • Content you supply (your logo, copy, photography, product data) always remains yours
  • Domain names registered in your name remain yours

7. Case Studies & Attribution

Unless otherwise agreed in writing, we may include a case study page on websites we build or manage. This page describes the project and links to Pink Frog Studio. It documents who built the site and creates genuine interlinking between the two sites, which supports the search visibility of both — your site benefits from association with an established portfolio, and ours from real project references.

8. Confidentiality

We maintain strict confidentiality of your business information, data, and strategies. We will not share your information with third parties without consent.

9. Warranties and Disclaimers

We provide services "as is" and make no warranties regarding:

  • Specific business results or revenue
  • Search engine rankings or positions
  • Third-party platform changes or policies

10. Limitation of Liability

Our liability is limited to the amount paid for services in the preceding 3 months. We are not liable for indirect, incidental, or consequential damages.

11. Termination

  • Either party may terminate with 30 days written notice
  • Outstanding invoices become immediately due
  • For project-based work paid in full, we will provide necessary files and account access
  • For subscription and managed websites, access and transfer on cancellation are governed by section 6

12. Refund Policy

  • 30-day money-back guarantee on Google Ads management
  • Web design deposits non-refundable once work begins
  • Refunds processed within 14 business days

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.

14. Changes to Terms

We may update these Terms at any time. Continued use of our services constitutes acceptance of updated Terms.
